LegalDraft is not a law firm and does not provide legal advice. Use of this site does not create an attorney-client relationship. All templates and content are provided for informational and educational purposes only. You should consult a licensed attorney before relying on any legal document.

1. Acceptance of Terms

By accessing or using the LegalDraft website and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and LegalDraft ("we," "us," or "our").

You must be at least 18 years of age to access or use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.

We reserve the right to update or modify these Terms at any time. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes. If you do not agree to these Terms, you must immediately discontinue use of the Service.

2. Description of Service

LegalDraft provides a self-service platform for generating legal document templates through a guided document builder. All document generation occurs client-side within your browser.

The Service includes, but is not limited to:

  • Browsing a library of legal document templates
  • Creating customized documents through a guided question-and-answer builder
  • Previewing generated documents before download
  • Exporting completed documents as PDF or Word files
  • Electronic signature functionality for completed documents
  • Saving and resuming document progress within your browser

The Service does NOT provide:

  • Legal advice of any kind
  • Attorney review or approval of documents
  • Filing of documents with any court, agency, or institution
  • Notarization services
  • Legal representation

The Service may include both free and paid tiers. Features, availability, and pricing are subject to change at our sole discretion.

LegalDraft is NOT a law firm. LegalDraft is NOT a substitute for an attorney or law firm. No attorney-client relationship is created by your use of the Service, and no such relationship is implied.

All content, templates, documents, and information provided through the Service are for informational and educational purposes only. Templates are generic starting points and are not tailored to your specific legal situation, jurisdiction, or circumstances.

Templates and content provided through the Service:

  • May not reflect current laws or recent legal changes
  • May not be suitable for every situation or jurisdiction
  • Are not guaranteed to be legally sufficient or enforceable
  • Should not be relied upon without independent legal review

You are solely responsible for determining whether any document or template is appropriate for your needs. We strongly recommend that you consult with a licensed attorney in your jurisdiction before executing, relying upon, or filing any legal document.

Using the Service is not a substitute for hiring a qualified attorney.

4. Assumption of Risk

You acknowledge and agree that legal documents carry real-world legal consequences. By using the Service, you assume all risk associated with:

  • The creation, use, execution, and reliance on any document generated through the Service
  • The legal sufficiency, accuracy, and enforceability of any such document
  • Any consequences arising from documents that are improperly drafted, incomplete, or unenforceable

Laws vary significantly by jurisdiction. The accuracy and applicability of any document depends on the information you provide and the laws applicable to your situation. You are strongly advised to seek independent legal counsel before executing any legal document.

If you proceed without having your documents reviewed by a licensed attorney, you do so entirely at your own risk. Improperly drafted legal documents may be unenforceable, void, or may expose you to legal liability.

5. User Responsibilities

By using the Service, you agree that you are responsible for:

  • The accuracy and truthfulness of all information you enter into the document builder
  • Ensuring that any document generated is appropriate for your jurisdiction and intended purpose
  • Having all documents reviewed by a licensed attorney before execution or reliance
  • Complying with all applicable local, state, federal, and international laws and regulations
  • Ensuring you have the legal capacity and authority to enter into any agreement created through the Service

You agree that you will NOT use the Service:

  • For any illegal or unlawful purpose
  • To create fraudulent, forged, or intentionally deceptive documents
  • To provide false or misleading information
  • In any manner that violates the rights of any third party

6. E-Signature Disclaimer

The electronic signature functionality provided through the Service is offered as a convenience feature only. LegalDraft:

  • Is not a party to any e-signature transaction
  • Does not verify the identity of any signer
  • Makes no representations or warranties regarding the legal validity or enforceability of any electronic signature
  • Is not responsible for any consequences arising from the use of the e-signature feature

You acknowledge that certain types of documents may not be legally valid with electronic signatures, including but not limited to: wills, certain trusts, certain real estate documents, court filings, and other documents as determined by applicable law.

The e-signature feature is designed with reference to the general framework of the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). However, it is your sole responsibility to determine whether an electronic signature is valid and enforceable for your specific document type and jurisdiction.

7. Document Accuracy & Enforceability

LegalDraft makes no guarantee regarding the completeness, accuracy, currency, or legal sufficiency of any template or document generated through the Service. Specifically:

  • Templates are general-purpose starting points and may not address your specific legal needs
  • State-specific content is informational in nature and may not reflect recent legislative or regulatory changes
  • No guarantee is made that any document will be enforceable in any jurisdiction
  • No guarantee is made that any document will be accepted by any court, government agency, financial institution, or other entity
  • Any modifications you make to generated documents are entirely at your own risk
  • Templates may be updated, modified, or removed without prior notice

8. Prohibited Uses

You agree not to use the Service to:

  • Engage in any activity that violates applicable laws or regulations
  • Create fraudulent, forged, or intentionally deceptive documents
  • Impersonate any person or entity
  • Create documents intended to facilitate violent crime or harassment
  • Infringe on the intellectual property rights of others
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use bots, scrapers, or automated tools to access or extract content from the Service
  • Attempt to gain unauthorized access to any portion of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reproduce, resell, redistribute, or sublicense any templates or content from the Service

We reserve the right to terminate or restrict your access to the Service at any time if we reasonably believe you have engaged in any prohibited use.

9. Intellectual Property

All content, design, code, graphics, logos, trademarks, and other materials on the Service are the property of LegalDraft or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

Documents you generate using the Service belong to you. However, you may not:

  • Reproduce, distribute, sell, or sublicense the underlying templates
  • Use the Service or its content to create a competing product or service
  • Remove or alter any copyright, trademark, or proprietary notices

All LegalDraft trademarks, service marks, and trade names are the exclusive property of LegalDraft and may not be used without prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEGALDRAFT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT.

LEGALDRAFT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. LEGALDRAFT DOES NOT WARRANT THAT ANY TEMPLATE OR DOCUMENT GENERATED THROUGH THE SERVICE WILL BE LEGALLY SUFFICIENT FOR ANY PURPOSE.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LEGALDRAFT OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEGALDRAFT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), AND EVEN IF LEGALDRAFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL LEGALDRAFT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO LEGALDRAFT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION OF LIABILITY APPLIES TO ALL CLAIMS, WHETHER BASED IN WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless LegalDraft and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or inability to use the Service
  • Any document you create, download, sign, execute, or rely upon using the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any rights of a third party
  • Any claim that a document created through the Service caused damage to any party
  • Your negligence or willful misconduct
  • Any inaccurate, misleading, or false information you provide through the Service

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

13. Arbitration Agreement

Informal Resolution. Before initiating any formal dispute resolution, you agree to first contact us with a written description of the dispute and attempt to resolve it informally. We will have thirty (30) days from receipt of your written notice to attempt to resolve the dispute.

Binding Arbitration. If we are unable to resolve a dispute informally, any controversy, claim, or dispute arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in the State of Delaware or, at your election, in the county where you reside. Arbitration shall be conducted on an individual basis only.

The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration agreement.

Exceptions. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdiction. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@logicfusion.net within thirty (30) days of your first use of the Service. Your opt-out notice must include your name, address, and a clear statement that you wish to opt out of this arbitration provision.

14. Class Action Waiver

ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST LEGALDRAFT.

CLAIMS OF MORE THAN ONE USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER USER.

IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THE ARBITRATION AGREEMENT SET FORTH IN SECTION 13 SHALL BE VOID, BUT THE REMAINDER OF THESE TERMS SHALL REMAIN IN FULL FORCE AND EFFECT. THIS WAIVER APPLIES TO ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, the exclusive jurisdiction and venue shall be the state and federal courts located in the State of Delaware. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

16. Modifications to Service & Terms

LegalDraft reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We also reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically.

17. Third-Party Links & Services

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by LegalDraft. LegalDraft has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

These links are provided for convenience only and do not constitute an endorsement, sponsorship, or recommendation by LegalDraft. You access third-party websites and services at your own risk and subject to the terms and conditions of those third parties.

18. DMCA / Copyright Policy

LegalDraft respects the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, you may submit a DMCA notice to our designated agent at: support@logicfusion.net.

Your DMCA notice must include:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing, with sufficient detail to locate it
  • Your contact information (name, address, telephone, email)
  • A statement that you have a good faith belief that the disputed use is not authorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner

Counter-Notification. If you believe your content was removed in error, you may submit a counter-notification to support@logicfusion.net containing: your signature, identification of the removed material, a statement under penalty of perjury that the removal was a mistake, and consent to jurisdiction in the State of Delaware.

Repeat Infringers. LegalDraft will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances.

19. Force Majeure

LegalDraft shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, pandemics, epidemics, fire, floods, earthquakes, accidents, strikes, labor disputes, power failures, internet or telecommunications outages, equipment failures, or supplier failures.

20. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LegalDraft regarding your use of the Service, and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the subject matter hereof.

22. Waiver

The failure of LegalDraft to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term, and LegalDraft's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
